These Terms and Conditions ("Terms") govern your access to and use of Fred, including:

Fred is operated by SFJ Capital UG ("Fred," "Licensor," "we," "us," or "our"). Fred is licensed, not sold, to you. By creating an account, downloading the iOS app, or using Fred, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Fred.

1. Parties & Eligibility

1.2 Eligibility

You must be at least 16 years old (or the legal age of majority in your jurisdiction) to use Fred. Minors under this age may only use Fred with parental or guardian consent.

2. Scope of License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Fred on devices you own or control for your personal, non-commercial goal-setting purposes.

You may not:

Distribute, rent, lease, lend, sell, sublicense, or otherwise make Fred available to others except as expressly permitted
Copy, reverse-engineer, decompile, disassemble, modify, or create derivative works of Fred, except to the extent such restriction is prohibited by applicable law
Use Fred over a network in a way that allows multiple devices or users to access a single licensed copy at the same time, except through your own authenticated account as intended by the service
Remove proprietary notices or attempt to bypass security or access controls

If you sell or transfer an Apple device, you must remove the Fred iOS app before doing so. All rights not expressly granted remain with SFJ Capital UG.

3. Services & Features

Fred enables users to:

Create, edit, and track personal goals, steps, and milestones
Build vision boards and organize goals by month and year
Use AI-powered features to generate inspiration and actionable steps (where available)
Review progress, add notes and images, and export monthly progress summaries (where available)

We strive to keep Fred available, but we do not guarantee uninterrupted uptime. Maintenance windows, updates, or outages may occur.

4. Accounts & Security

To access most features you must create an account with accurate information. You are responsible for keeping your login credentials confidential and for activity under your account. Notify us promptly at team@fredgoals.com if you suspect unauthorized use.

5. Subscriptions, Payments & Billing

5.1 Web subscriptions (Stripe)

Paid plans purchased on the web are processed by Stripe. By subscribing you also agree to Stripe's terms and privacy policy. We do not store full payment card details.

5.2 iOS subscriptions (Apple)

Paid plans purchased in the Fred iOS app are billed by Apple as in-app purchases. Payment is charged to your Apple ID account. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period in your Apple ID subscription settings. Manage or cancel iOS subscriptions in Settings on your Apple device. Apple's refund rules apply to App Store purchases.

5.3 Plans, renewal, and cancellation

Fred may offer free and paid tiers. Paid plans may include Pro features such as expanded AI usage and other benefits described in the app or on our pricing page. Subscriptions renew automatically at the end of each billing period unless canceled. Web cancellations can be made in account billing settings or by contacting team@fredgoals.com. Cancellation takes effect at the end of the current billing period. No partial refunds are provided unless required by law (including EU consumer withdrawal rights where applicable).

6. Consent to Use of Data

You agree that we may collect and use technical data and related information—including device, system, application, and usage information—to provide updates, support, security, analytics, and improvements to Fred. Where data identifies you, our Privacy Policy explains how it is processed. You agree not to use Fred to harass, abuse, stalk, threaten, or defame any person or entity.

7. External Services

Fred may enable access to our own or third-party services and websites ("External Services"), including payment providers, analytics, hosting, and AI providers. You use External Services at your own risk. We are not responsible for examining or evaluating third-party External Services and shall not be liable for them. External Services may not be available in all languages or locations. You are solely responsible for compliance with applicable laws when using them. We may change, suspend, or limit External Services at any time without notice.

8. Intellectual Property & User Content

Fred software, design, text, branding, and trademarks are owned by SFJ Capital UG or its licensors. You retain ownership of goals, notes, images, and other content you create. You grant SFJ a worldwide, non-exclusive, royalty-free license to host, process, and display that content solely to operate and improve Fred.

9. Acceptable Use

You agree not to:

Use Fred for unlawful purposes
Interfere with the security, integrity, or availability of Fred
Upload malicious code or harmful data
Misuse AI features to generate unlawful, abusive, or infringing content

Violation may result in suspension or termination of your account.

10. Termination

These Terms remain in effect until terminated by you or by us. Your rights under these Terms terminate automatically if you fail to comply with them. You may stop using Fred at any time. We may suspend or terminate accounts that violate these Terms or harm the service. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

11. No Warranty

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF FRED IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRED AND ANY SERVICES PERFORMED OR PROVIDED BY FRED ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO FRED, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM US CREATES A WARRANTY. SHOULD FRED PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

Fred is a productivity and goal-setting tool. It does not provide medical, legal, financial, or professional advice.

12. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL SFJ CAPITAL UG BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE FRED, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

Except where mandatory consumer protection law requires otherwise, our total liability to you for all damages shall not exceed the greater of (a) the amount you paid us for Fred in the 12 months preceding the claim, or (b) fifty euros (€50). This does not limit liability that cannot be excluded under German or EU law.

13. Right of Withdrawal (EU Consumers)

If you are a consumer in the EU, you may have a 14-day right of withdrawal from the date of a distance contract for digital services. By requesting immediate performance of Fred's digital services during that period, you acknowledge that you may lose the withdrawal right once the service has been fully provided, to the extent permitted by law.

14. Governing Law & Jurisdiction

If you are a consumer in the European Union, Switzerland, Norway, or Iceland, these Terms are governed by the laws of your habitual residence, and you may bring proceedings in the courts of that place. Otherwise, German law applies and the place of jurisdiction is Ludwigshafen am Rhein, Germany, unless mandatory law provides otherwise.

Specifically excluded is the United Nations Convention on Contracts for the International Sale of Goods.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice in Fred. Continued use after the effective date constitutes acceptance of the updated Terms.

For App Store purchases, Apple is not a party to these Terms between you and SFJ Capital UG, except for Apple's role as the provider of the App Store and related payment services.
